Gryphon submitted a proxy statement to the U.S. Securities and Exchange Commission (SEC) on July 31 and will hold a shareholder vote on August 27. The SEC has also approved the effectiveness of the S-4 registration statement, clearing regulatory obstacles for the transaction to proceed.
